To be an authorized affiliate of www.gogreenbag.com you agree to abide by the terms and conditions contained in this agreement.
Reseller Partner and Affiliate Terms and Conditions:
1. You understand that you are not allowed to use the name \Elephant Environmental\
or \www.gogreenbag.com\, any of its service marks, trade names, or logos
without the express written permission of Elephant Environmental or www.gogreenbag.com,
or as provided in your Affiliate account setup email. Banners, text banners
and other forms of advertising will be provided to you via your affiliate
control panel. Any unauthorized use of banners, logo\s, images or web content
is strictly prohibited.
2. You understand that the word \partner\, as used in this agreement, does
not create a partnership for the purposes of taxes, profit sharing, or other
legal purpose. The \partnership\ created through this agreement is expressly
limited to Elephant Environmental and/or www.gogreenbag.com providing the
systems through which the \partner\ is allowed to resell web hosting services.
The \partner\ will also be entitled to a discount based upon predefined
levels of performance. Affiliates are not entitled to reseller discounts
and are instead paid commissions.
3. You are required to obtain and maintain all proper business licenses, tax registrations, and legal documents required by the governing authorities of your locality.
4. You are required to comply with good business practices as defined by the United States Federal Trade Commission and the United States Attorney General.
5. If Elephant Environmental and/or www.gogreenbag.com is presented with a request by a bonified legal authority that your reseller or Affiliate account be closed, you understand that Elephant Environmental and/or www.gogreenbag.com will suspend your account first and ask questions later.
6. You are required to support all accounts and end-users registered through the systems provided to you. This includes billing, customer service, and technical support. As such, you are expected to maintain competent staff that are trained for such duties. You are permitted to contact us for assistance in resolving end-user technical problems, but we will refuse any direct contact with end-users for as long as your account is in good standing. This term does not apply to Affiliate accounts.
7. You are required to pay all amounts payable to Elephant Environmental and/or www.gogreenbag.com in a timely manner. In the event of a billing dispute, the non-disputed amount must be paid until the dispute is resolved. When the disputed amount is verified or corrected, it will become due with your next regular billing. Late payment incurs interest in the amount of 1% per month or $25 per month, whichever is greater. If payment is not received within 5 days of the due date, Elephant Environmental and/or www.gogreenbag.com may, at its sole discretion, suspend your account and all services under your account until payment is received.
8. You are required to pay the setup fee to be setup as a reseller partner. If your reseller partner application is rejected, your setup fee will be refunded. Otherwise, the fee is non-refundable. This term does not apply to Affiliate accounts.
9. You are required to maintain valid contact information through your reseller or Affiliate control panel. If, at any time, your contact information is found to be invalid, Elephant Environmental and/or www.gogreenbag.com may suspend your account and any services under your account until the information is corrected.
10. You understand that while Elephant Environmental and/or www.gogreenbag.com provides a system that makes it very easy to setup a web site to sell hosting, there is still substantial customization work required on the part of the reseller before it will be useable by the general public. Such work involves, but is not limited to, web/graphic design, hosting plan selection, hosting plan pricing, hosting plan customization, defining various system parameters, and setting up payment systems. It is expected that the reseller has enough expertise and experience to do that work or has adequate financial means to hire someone with the required expertise. This term does not apply to Affiliate accounts.
Zero Tolerance Spam Policy
Your account and any services under your account will be terminated upon
any legitimate and verifiable complaint that you have been advertising your
hosting services via unsolicited commercial bulk email or inappropriate
newsgroup postings.
End-user Abandonment Policy
If you become unreachable, unlocatable, or your reseller account is suspended
for an extended period of time such that it causes your end-users to seek
out Elephant Environmental and/or www.gogreenbag.com to obtain continuous
service, we reserve the right to provide service to your end-users provided
they place an appropriate order for service through Elephant Environmental
and/or www.gogreenbag.com\s usual ordering systems. You agree to hold us
harmless in such instances and recognize that such incidents may have irreversible
effects. For this reason, it is advisable that you stay current on your
billing account and maintain valid contact information.
